1. Acceptance of Terms

By creating an account, accessing, or using NooSpan, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.

NooSpan is an AI-powered conversational platform that provides:

3. Account Registration

3.1 Eligibility

4.2 Billing

Paid subscriptions are billed in advance on a monthly basis
Payments are processed securely through Stripe
All fees are non-refundable unless otherwise required by law

4.3 Cancellation

You may cancel your subscription at any time through your account settings or Stripe customer portal. Your subscription will remain active until the end of your current billing period.

4.4 Price Changes

We reserve the right to modify pricing with 30 days advance notice. Continued use after price changes constitutes acceptance.

5. Acceptable Use Policy

5.1 Prohibited Activities

You agree NOT to use the Service to:

Violate any applicable laws or regulations
Generate, store, or transmit illegal content
Harass, abuse, or harm others
Attempt to gain unauthorized access to our systems
Reverse engineer or decompile any part of the Service
Use automated systems to access the Service without permission
Circumvent usage limits or restrictions

5.2 AI Usage Guidelines

When using AI features, you acknowledge that:

AI responses may contain errors or inaccuracies
You are responsible for verifying AI-generated content
AI outputs should not be used as a sole source for critical decisions
The AI may decline certain requests for safety reasons

5.3 Content Standards

You are solely responsible for content you input into the Service. You retain ownership of your content but grant us a limited license to process it for providing the Service.

5.4 High-Risk Activities Disclaimer

THE SERVICE IS NOT INTENDED FOR AND SHOULD NOT BE USED FOR HIGH-RISK ACTIVITIES. You expressly acknowledge and agree that:

Prohibited High-Risk Uses: The Service is NOT designed, intended, or authorized for use in connection with:

AI-generated content is for general informational purposes only and is NOT a substitute for professional expertise.

Assumption of Risk: BY USING THE SERVICE, YOU ASSUME ALL RISK ASSOCIATED WITH YOUR USE OF AI-GENERATED CONTENT. You agree that NooSpan Inc., its shareholders, directors, officers, employees, and affiliates shall have NO LIABILITY whatsoever for any harm, loss, damage, or adverse outcome resulting from your reliance on or use of AI outputs for any purpose, including but not limited to high-risk activities.

6. Intellectual Property

6.1 Our Rights

The Service, including its name, logo, design, features, software, algorithms, and underlying technology, is owned by NooSpan Inc. and protected by copyright, trademark, patent, and other intellectual property laws. All rights not expressly granted herein are reserved.

6.2 Your Rights

You retain all ownership rights to the content you create using the Service. We do not claim ownership of your data. By using the Service, you grant NooSpan Inc. a limited, non-exclusive, royalty-free license to process your content solely for the purpose of providing and improving the Service.

6.3 Feedback

Any feedback, suggestions, ideas, or other submissions you provide regarding the Service may be used by NooSpan Inc. without restriction, compensation, or credit, and you hereby assign all rights in such feedback to NooSpan Inc.

AND ITS SHAREHOLDERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE
WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT

8.2 Service Availability

We do not guarantee uninterrupted or error-free service. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control.

8.3 AI Limitations

AI features are provided for informational purposes only and may produce incorrect, incomplete, biased, or inappropriate responses. You expressly acknowledge and agree that:

AI outputs do NOT constitute professional advice of any kind (including but not limited to legal, medical, financial, tax, or psychological advice)
You are solely responsible for verifying AI-generated content before relying on it
NooSpan Inc. and its associates are NOT liable for any decisions, actions, or consequences resulting from AI outputs
The AI may decline certain requests for safety or policy reasons

8.4 Third-Party Services

The Service may integrate with third-party services (including AI providers). We are not responsible for their availability, accuracy, policies, or any damages arising from their use.

8.5 No Professional Relationship

Use of the Service does not create any professional, fiduciary, or advisory relationship between you and NooSpan Inc. or any of its shareholders, directors, officers, or employees.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

9.1 No Liability for Damages

IN NO EVENT SHALL NOOSPAN INC., ITS PARENT COMPANIES, SUBSIDIARIES, AFFILIATES, SHAREHOLDERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, SERVICE PROVIDERS, OR SUCCESSORS (COLLECTIVELY, "NOOSPAN PARTIES") BE LIABLE FOR ANY:

Indirect, incidental, special, consequential, exemplary, or punitive damages
Loss of profits, revenue, data, goodwill, or business opportunities
Cost of procurement of substitute goods or services
Personal injury or property damage arising from your use of the Service
Unauthorized access to or alteration of your data or transmissions
Statements or conduct of any third party on the Service
Any other matter relating to the Service

9.2 Liability Cap

THE TOTAL AGGREGATE LIABILITY OF THE NOOSPAN PARTIES FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO NOOSPAN FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

9.3 Basis of the Bargain

THE LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN NOOSPAN AND YOU. THE SERVICE WOULD NOT BE PROVIDED WITHOUT SUCH LIMITATIONS.

9.4 Jurisdictional Limitations

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.

10. Indemnification

You agree to indemnify, defend, and hold harmless NooSpan Inc., its parent companies, subsidiaries, affiliates, shareholders, directors, officers, employees, agents, contractors, licensors, service providers, and successors (collectively, "Indemnified Parties") from and against any and all claims, demands, actions, damages, losses, costs, liabilities, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

Your access to or use of the Service
Your violation of these Terms or any applicable law
Your content, data, or any information you submit to the Service
Your violation of any third-party rights, including intellectual property, privacy, or publicity rights
Any dispute between you and any third party
Your negligence or willful misconduct

11. Dispute Resolution

11.1 Governing Law

These Terms are governed by the laws of the jurisdiction in which we operate, without regard to conflict of law principles.

11.2 Informal Resolution

Before filing any claim, you agree to attempt to resolve disputes informally by contacting us.

11.3 Arbitration

Any disputes that cannot be resolved informally shall be settled by binding arbitration, except where prohibited by law.

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us.

13.3 Waiver

Our failure to enforce any provision does not constitute a waiver of that provision.
